These Plato Terms of Service ("Terms") constitute an agreement between you and Team SeamlessAI Inc. ("SeamlessAI," "we," "us," or "our") regarding your use of the Plato service ("Plato"), an AI-powered education tool. In these Terms, "you" refers to both you as an individual and the entity you represent. By using Plato, you agree to these Terms of Service.

IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. BY ACCESSING OR USING PLATO, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE.

1. Plato: An AI-Powered Education Platform

Plato is an AI-powered education platform that offers a variety of courses and interactive learning experiences. Our service utilizes Large Language Model (LLM) powered agents to provide personalized education content and assistance. Each course within Plato has its own description, and usage guidelines can be found in your account settings or by contacting our support team.

2. Age Requirements

Use of Plato by anyone under 13 years of age is prohibited. You represent that you are at least the age of majority in your jurisdiction or, if not, your parent or legal guardian must consent to these Terms and accept responsibility for your use. Some content on Plato may not be suitable for minors. If you are accepting these Terms on behalf of someone else or an entity, you confirm that you have the legal authority to bind that person or entity to these Terms.

3. Your Use of Plato

3.1 Use of Plato: Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable right to use Plato and its features.

• Misrepresent AI-generated content as human-generated.

3.4 Feedback: We welcome your feedback about Plato. By submitting feedback, you grant us the right to use, modify, and incorporate your feedback without compensation to you.

4. Your Content

4.1 Your Content: All material that you upload, publish, or display within Plato, including your course progress, submitted assignments, and interactions with the AI, will be considered "Your Content."

4.2 Ownership: You retain ownership of Your Content, subject to the rights granted to us in these Terms.

4.3 Your Responsibility: You are responsible for ensuring that Your Content does not violate any applicable law, these Terms, or our policies.

4.4 Our Use of Your Content: We may use Your Content to provide and improve Plato, including:

• Personalizing your learning experience;
• Improving our AI models and course content;
• Analyzing usage patterns to enhance our services;
• Displaying your progress or achievements (in accordance with your privacy settings).

By using Plato, you grant us a worldwide, non-exclusive, royalty-free, transferable, and perpetual license to use Your Content as stated above.

5. Termination

You may terminate these Terms at any time by ceasing use of Plato and deleting your account. We may terminate your access to Plato at any time for any reason. Certain provisions of these Terms will survive termination.

6. Privacy

7. Disclaimers and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PLATO AND ITS SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF PLATO OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID TO US FOR PLATO IN THE PRIOR TWELVE (12) MONTHS.

8. General Terms

We reserve the right to modify, suspend, or discontinue Plato or your access to it at any time. We may update these Terms, and your continued use of Plato after such updates constitutes acceptance of the new Terms. These Terms, along with any Supplemental Terms, form the entire agreement between you and us. You may not assign these Terms without our consent, but we may assign them without restriction. We may comply with legal requests related to your use of Plato and may report information to law enforcement. The Services are commercial computer software, and U.S. Government users have only those rights granted to all other users.

9. Intellectual Property

All content, features, and functionality of Plato, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are owned by SeamlessAI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms do not grant you any rights to use SeamlessAI's trademarks, logos, domain names, or other brand features.

10. In Case of Disputes

10.1 Equitable Relief: You agree that (a) no adequate remedy exists at law if you breach Section 3 (Use of Our Services); (b) damages from such breach would be difficult to determine and would cause irreparable harm; and (c) injunctive relief is the best remedy. You waive opposition to such relief and any demand for proof of actual damage or security posting.

10.2 Governing Law and Exclusive Jurisdiction: These Terms will be governed by California law, without regard to conflict of law principles. Disputes arising from these Terms will be resolved exclusively in state or federal courts in San Francisco, California. You submit to the personal and exclusive jurisdiction of these courts and waive claims that may arise under other jurisdictions' laws.
